These general terms of use apply to the use of the DC-Scope software license available on www.easyvirt.com.
EasyVirt SAS, a French company with its registered office located in Nantes (France), 2 rue Alfred Kastler.
DOWNLOADING, INSTALLING, COPYING, OR USING THE SOFTWARE CONSTITUTES FULL ACCEPTANCE OF THE TERMS OF THE DC-SCOPE LICENSE AGREEMENT (“AGREEMENT”). IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU MUST NOT DOWNLOAD, INSTALL, COPY, OR USE THE SOFTWARE.
“YOU” REFERS TO THE INDIVIDUAL OR LEGAL ENTITY AGREEING TO BE BOUND BY THIS AGREEMENT, INCLUDING YOUR EMPLOYEES AND SUBCONTRACTORS PROVIDING SERVICES TO YOU. YOU ARE RESPONSIBLE FOR ANY BREACH OF THIS AGREEMENT BY YOUR EMPLOYEES AND SUBCONTRACTORS.
This agreement grants you a limited, non-exclusive, and non-transferable right to use one copy of the software in object code form.
The term “Software” refers to the licensed software products under this agreement, including but not limited to associated components provided with the software (application programming interfaces, related media, printed, online or electronic documentation, and all updates and patches).
Open Source software components provided with the software are licensed under the applicable license agreements included with those components. Open Source software licenses are available upon request at contact@easyvirt.com.
You may not copy the software or remove any titles, trademarks, trade names, copyright notices, or other proprietary markings included with the software. No rights to EasyVirt’s trademarks or service marks are granted to you.
You may not:
(i) assign, rent, sublicense, distribute, or transfer, in whole or in part, the software to any third party;
(ii) provide, disclose, or make the software accessible to any third party without prior written consent from EasyVirt;
(iii) modify or create derivative works based on the software;
(iv) bypass the software’s technical restrictions by developing or using third-party software.
Unless explicitly authorized by EasyVirt, you may not decompile, disassemble, reverse engineer, or attempt to access the source code of the software. Before exercising any right you believe you may have, you must provide 30 days’ prior written notice to contact@easyvirt.com, including all information necessary to evaluate your request.
You may use the software to perform performance tests and internal evaluation studies, provided that EasyVirt has reviewed and approved the methodology and parameters of the study before any publication. To make a request, contact contact@easyvirt.com.
EasyVirt retains all rights, title, and interest in the software, including copyrights, trade secrets, patents, trademarks, and other intellectual and industrial property rights.
Technical support for DC-Scope is only guaranteed under a maintenance or subscription contract.
Neither EasyVirt nor its distributors will provide support services during the DC-Scope software trial period.
Unless you subscribe to a license or purchase agreement, this agreement will terminate at the end of the applicable trial period following the software download.
In the event of a breach of this agreement, EasyVirt may terminate it immediately and without notice.
Upon expiration or termination of this agreement, all rights, licenses, or permissions granted will immediately cease. You must then:
(i) immediately cease all use of the software, in whole or in part;
(ii) destroy, delete, or permanently uninstall any copy of the software installed or copied.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASYVIRT AND ITS LICENSORS PROVIDE THE SOFTWARE WITHOUT ANY WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. EASYVIRT AND ITS LICENSORS DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE EXTENT PERMITTED BY LAW, EASYVIRT AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY ECONOMIC LOSSES, LOSS OF PROFITS, BUSINESS INTERRUPTIONS, LOSS OF DATA, OR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
IN NO EVENT SHALL THE LIABILITY OF EASYVIRT AND ITS LICENSORS EXCEED THE LICENSE FEES PAID FOR THE SOFTWARE.
To perform its functions and validate the license key, DC-Scope collects and sends the following information to EasyVirt’s servers:
License key
Number of virtual machines
Version and build of DC-Scope
Date of last connection
DC-Scope does not collect any personally identifiable information, such as names, email addresses, or private data from other applications.
By accepting this agreement or using the software, you authorize the collection, use, and disclosure of this data in accordance with this agreement and the privacy policy.
This agreement constitutes the complete agreement between EasyVirt and you regarding the software, and supersedes all prior agreements or advertising.
The titles in this agreement are provided for convenience and do not affect its interpretation.
Failure to exercise a right does not constitute a waiver. Any amendment to this agreement must be made in writing and signed by both parties.
If any provision of this agreement is found to be invalid or unlawful, the remaining provisions shall remain in effect.
This agreement is governed by French law. In the event of a dispute, French courts shall have exclusive jurisdiction.
